Terms and Conditions

Welcome to the Bear Light Studios, LLC PRO Installer Program. By signing up as a PRO Installer, you agree to the following terms and conditions. Please read carefully before enrolling. These Terms & Conditions (“Terms”) govern participation in the Bear Light Studios Installer Program (the “Program”). By registering as a PRO Installer, you agree to comply with these Terms.

1. Overview

Bear Light Studios provides professional-grade, patented Alloy Track Systems and related products (“Products”) for use with permanent outdoor lighting. Installers in this Program receive access to support, resources, and referrals but remain independent contractors responsible for their own business operations.

2. Installer Requirements

Installers must maintain a high standard of service quality including professionalism, workmanship, and communication.

Installers should maintain general liability insurance with a minimum coverage of $1,000,000 per occurrence. Proof of insurance may be requested by Bear Light Studios and must be updated every 12 months.

Installers must comply with all applicable local, state/province, and federal licensing, permitting, and trade requirements applicable to their services.

3. Territory & Referrals

Installers may be listed in the Bear Light Studios Installer Directory and receive referrals based on geographic demand.

Bear Light Studios may assign multiple Installers to a single territory depending on demand and availability.

Bear Light Studios will use judgment based on regional demand and does not guarantee exclusivity of territory or volume of referrals.

Inclusion in the Bear Light Studios Installer Directory does not constitute endorsement, certification, or guarantee of workmanship. Clients remain responsible for independently evaluating installers before entering into any installation agreement.

4. Payments & Fees

Installers contract directly with their clients for labor and installation services.

Bear Light Studios does not process, manage, or guarantee installer payments from customers.

Program enrollment is currently free (a $49 value) and includes a welcome kit with a color box and a one-time initiation incentive, such as promotional pricing or a coupon toward product purchases.

5. Job Performance & Accountability

Installers are fully responsible for the quality of their installations and for any damages caused during the installation process.

Installations should follow Bear Light Studios recommended installation practices and guidelines where applicable.

Poor performance, repeated customer complaints, unsafe work practices, or failure to meet brand standards may result in suspension or removal from the Program.

Bear Light Studios is not liable for disputes between Installers and their clients, including labor, workmanship, or installation-related issues.

Installers receiving referrals or leads from Bear Light Studios agree to present Bear Light Studios products as the primary track system solution for that project and may not use Bear Light Studios referrals to promote competing or infringing track systems.

6. Support & Warranty Services

Bear Light Studios provides product warranties to end customers; however, labor warranties are the sole responsibility of the Installer.

In the event of a valid product warranty claim, Bear Light Studios may provide replacement parts and, where applicable, coordinate with the original Installer or another Installer to complete service.

7. Marketing & Content Use

By participating in the Program, Installers grant Bear Light Studios the right to use their business name, profile, reviews, and submitted installation photos for marketing purposes, including social media, website listings, advertising, and promotional materials.

Installers agree to promote Bear Light Studios products in a lawful, ethical, and truthful manner.

Installers must not engage in spam marketing, cookie stuffing, deceptive practices, or misleading advertising.

Installers may not create or operate websites, advertisements, or social media accounts that impersonate Bear Light Studios or mislead customers about their affiliation with the company.

Installers are responsible for ensuring their marketing content complies with applicable advertising laws, including FTC Endorsement Guidelines.

Bear Light Studios may provide referral links, discount codes, or promotional materials for marketing purposes.

Installers agree to represent Bear Light Studios products professionally and accurately and must not make false claims regarding product capabilities, warranties, or affiliations.

Installers may not represent themselves as employees or official agents of Bear Light Studios.

8. Term & Termination

This Agreement begins upon acceptance into the Program and continues until terminated by either party.

Bear Light Studios may suspend or terminate participation in the Program at any time, with or without cause, by providing written notice or by declining to renew an Installer’s listing in the Bear Light Studios PRO Installer Directory.

Installers may terminate participation at any time by providing written notice.

Upon termination, Installers must immediately discontinue use of all Bear Light Studios branding, promotional materials, installer identification, and marketing assets associated with the Program.

9. Intellectual Property, Non-Infringement & Product Use

Bear Light Studios, LLC owns and/or controls proprietary and patented designs, trade dress, branding, and intellectual property related to its Alloy Track Systems and associated products (“Intellectual Property”).

A. Limited License

Installer is granted a limited, non-exclusive, non-transferable, revocable license to use Bear Light Studios logos, watermarked product images, and approved marketing materials solely for the purpose of promoting Bear Light Studios products in connection with Installer’s installation services.

Installer may not modify, alter, create derivative works of, or otherwise misuse Bear Light Studios Intellectual Property.

All rights, title, and interest remain the sole property of Bear Light Studios, LLC.

B. Non-Infringement & Competitive Conduct

As a condition of participation in the Program, Installer agrees that they will not knowingly:

• Install, promote, sell, distribute, or assist in sourcing or installing track systems or products that infringe upon Bear Light Studios patents, proprietary designs, or intellectual property
• Represent, market, or imply affiliation with Bear Light Studios while simultaneously installing or promoting infringing or substantially similar copycat track systems
• Use Bear Light Studios marketing materials, association, or Program participation to indirectly benefit competing infringing products

If Installer knowingly engages in conduct that results in Bear Light Studios incurring enforcement actions, including cease and desist letters, legal review, arbitration, or litigation expenses, Installer agrees to indemnify, defend, and hold harmless Bear Light Studios, LLC for reasonable attorney’s fees, costs, and damages arising from such conduct.

Violation of this subsection constitutes grounds for immediate termination from the Program.

C. Installation Use Only / No Redistribution

Products purchased under PRO Installer pricing are intended solely for use by the Installer in connection with their own installation services for end customers.

Installer agrees that Products purchased under Program pricing:

• Products purchased under PRO Installer pricing are intended primarily for use by the Installer in connection with their own installation services for end customers. Products may not be marketed, publicly listed, or sold as a wholesale or retail supply product, or redistributed at scale to third parties, retailers, contractors, distributors, or competing businesses. Occasional transfers between installers to correct ordering errors or project needs are permitted, provided such activity does not constitute a resale or supply business.
• May not be used in connection with infringing or unauthorized track systems

Program pricing is extended in consideration of Installer participation in the Bear Light Studios PRO Installer Network and is not authorized for bulk redistribution or independent supply operations.

Installer pricing is provided solely for the purpose of completing installation services for end customers and may not be used to establish independent distribution, supply operations, or material resale businesses.

Bear Light Studios reserves the right to monitor purchasing activity and revoke installer pricing if ordering patterns reasonably indicate product purchases are being used for redistribution rather than installation services.

Violation of this subsection constitutes grounds for immediate termination and revocation of installer pricing privileges.

D. No White Labeling / Rebranding

Installer acknowledges that Bear Light Studios products, track systems, branding, trade dress, and associated product identity remain the exclusive property of Bear Light Studios, LLC.

Installer may not rebrand, white-label, private-label, relabel, or market Bear Light Studios products as the Installer’s own proprietary product line, track system, or manufactured product.

Installer may not remove, obscure, or misrepresent the origin of Bear Light Studios products in a manner intended to imply that the products were designed, manufactured, or supplied by another company.

When referencing or marketing Bear Light Studios track systems in customer-facing materials, social media, proposals, websites, or advertisements, Installer agrees to accurately identify the products as Bear Light Studios products or Bear Light Studios track systems.

Installers participating in enhanced partnership pricing tiers, marketing collaborations, referral partnerships, or promotional programs may additionally be required to maintain reasonable brand attribution, social media tagging, or acknowledgment of Bear Light Studios in applicable project showcases or promotional content featuring Bear Light Studios products.

Violation of this subsection constitutes grounds for immediate termination from the Program and revocation of installer pricing privileges.

10. PRO Installer Identification & Verification

Installers accepted into the Bear Light Studios PRO Installer Program may receive identification materials such as decals, badges, digital assets, or other materials identifying them as a “Bear Light Studios PRO Installer.”

“PRO Installer” status indicates that the installer has been accepted into the Bear Light Studios Installer Network and is recognized as an independent installer familiar with Bear Light Studios products.

PRO Installer status does not indicate employment, agency, or guarantee of workmanship by Bear Light Studios.

Installers may only use PRO Installer identification materials while actively participating in the Program and while in good standing.

Upon termination or removal from the Program, Installers must immediately discontinue use of all PRO Installer identification materials, decals, branding, and representations related to Bear Light Studios.

11. Brand Representation & Product Loyalty for Referrals

Installers participating in the Bear Light Studios PRO Installer Program acknowledge that Bear Light Studios may provide marketing exposure, referrals, or customer inquiries through its website, social media channels, or other promotional efforts.

When receiving a referral or lead originating from Bear Light Studios, Installers agree to present Bear Light Studios track systems as the primary track system solution for that project.

Installers may not use Bear Light Studios referrals, marketing exposure, or association with the PRO Installer Program to redirect customers toward competing or infringing track systems.

Nothing in this section prohibits an Installer from offering other lighting products or services within their business. However, Bear Light Studios referrals may not be used to promote competing track systems.

Installers may not present Bear Light Studios products supplied under the Program as proprietary products of another company or use participation in the Program to support private-label or white-labeled sales representations involving Bear Light Studios products.

Violation of this subsection may result in suspension or removal from the PRO Installer Program and/or adjustment of Installer benefits, partnership status, or wholesale pricing tiers at Bear Light Studios’ discretion.

12. Installer Conduct & Brand Protection

Installers participating in the Bear Light Studios PRO Installer Program represent an extension of the Bear Light Studios brand when interacting with customers through referrals, directory listings, or marketing materials associated with the Program.

Installers agree to conduct business in a professional and ethical manner and avoid actions that could reasonably harm the reputation of Bear Light Studios, its products, or the Installer Network.

Examples of conduct that may result in suspension or removal from the Program include, but are not limited to:

• Misrepresentation of Bear Light Studios products or warranties
• Misleading advertising regarding affiliation with Bear Light Studios
• Installation practices that significantly deviate from recommended installation guidelines
• Conduct that results in repeated customer complaints related to professionalism, safety, or workmanship

Bear Light Studios reserves the right to suspend or remove Installers from the Program if such conduct is determined to negatively impact the brand or the integrity of the Installer Network.

13. Limitation of Liability

Bear Light Studios makes no guarantees regarding sales, earnings, or performance resulting from participation in the Program.

To the maximum extent permitted by law, Bear Light Studios, LLC shall not be liable for any indirect, incidental, or consequential damages arising from participation in the Program.

14. Independent Contractor Relationship

PRO Installers are independent contractors and not employees, agents, or representatives of Bear Light Studios.

Installers are responsible for their own taxes, business expenses, insurance, liabilities, and compliance with applicable laws.

15. Modifications

Bear Light Studios may update or modify these Terms & Conditions at any time.

Continued participation in the Program after changes constitutes acceptance of the updated Terms.

16. Governing Law

These Terms & Conditions are governed by and construed under the laws of the State of Florida, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms, the Program, or participation shall be resolved by binding arbitration in Lake County, Florida, in accordance with the rules of the American Arbitration Association.

Judgment on the arbitration award may be entered in any court having jurisdiction.

Class Action & Jury Trial Waiver

By participating in the Program, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

You further waive any right to a trial by jury in any dispute, whether in arbitration or court.
